Proposal 1
To consider and, if deemed advisable, to pass, with or without variation, the special resolution, the full text of which is set forth in Appendix "A" to the Corporation's management information circular dated January 4, 2024 (the "Circular") to approve a statutory plan of arrangement pursuant to Section 192 of the Canada Business Corporations Act whereby, among other things, IAMGOLD Corporation will acquire all of the issued and outstanding common shares in the capital of the Corporation, all as more particularly described in the Circular.
